欢迎您使用 音悦唱(以下简称"本应用"或"本服务")。本应用由 Happy advert Limited(以下简称"我们")运营。 Welcome to LightSing (the "App" or "Service"). The App is operated by Happy advert Limited ("we", "us", "our").

本《用户服务协议》(以下简称"本协议")是您与我们之间就使用本应用所订立的有效合约。请您在使用前仔细阅读本协议全部条款,尤其是以粗体或下划线标识的免除或限制责任、争议解决与法律适用等条款。您一旦使用本服务,即视为您已阅读、理解并同意接受本协议全部内容。 This Terms of Service (the "Agreement") is a binding contract between you and us regarding your use of the App. Please read all terms carefully, especially the bold clauses on limitation of liability, dispute resolution and governing law. By using the Service, you acknowledge that you have read, understood and agreed to this Agreement in full.

如您未满 18 周岁或不具备完全民事行为能力,请在您的监护人陪同下阅读,并在征得监护人同意后使用本服务。 If you are under 18 or lack full legal capacity, please read this Agreement with your guardian and obtain their consent before using the Service.

服务内容Service

1.1 本应用是一款面向音乐爱好者的 AI 创作与娱乐工具,主要功能包括但不限于: 1.1 The App is an AI creation and entertainment tool for music lovers, with features including but not limited to:

• AI 翻唱AI Cover:基于 AI 技术对用户上传或选定的音频进行声音替换、音色转换、伴奏分离等处理;: AI-based voice replacement, tone conversion and stem separation on audio uploaded or selected by the user;
• AI 音色克隆Voice Cloning:基于用户提供的声音样本生成个性化音色模型;: Personal voice models generated from user-provided samples;
• 会员订阅与虚拟商品Subscription & Virtual Goods:通过应用内购买获取高级功能、更多额度或虚拟道具。: Access premium features, additional quota or virtual items via in-app purchase.

1.2 我们可能不时增加、调整、升级或下线部分功能。具体服务内容以您实际使用时本应用所提供的功能为准。 1.2 We may add, adjust, upgrade or discontinue features from time to time. The actual functionality of the App at the time of use governs.

1.3 本协议项下的服务为"现状"提供。在法律允许的范围内,我们不对服务的连续性、无错误、完全准确性等做出任何明示或默示的保证。 1.3 The Service is provided "as is". To the extent permitted by law, we make no express or implied warranty regarding continuity, error-free operation or complete accuracy.

免注册使用与本地数据No Account & Local Data

2.1 免注册机制。本应用不提供注册与登录功能,不需要您创建账号。我们也不会主动采集您的手机号、邮箱等账号信息。 2.1 No-registration. The App provides no signup or login and does not require you to create an account. We do not collect your phone number, email or other account information.

2.2 数据存储。您的声音样本、历史记录、偏好设置等数据保存在您的设备本地;您生成的翻唱作品存储于我们的服务器。如您卸载本应用或清除应用数据,本地数据将无法恢复,请您在操作前做好备份;服务器侧作品的保留与删除规则详见《隐私政策》。 2.2 Data storage. Your voice samples, history and preferences are stored locally on your device; your generated cover works are stored on our servers. Uninstalling or clearing app data permanently removes local data — please back up first. Server-side retention and deletion rules are detailed in the Privacy Policy.

2.3 设备绑定。由于无账号体系,您的订阅权益与虚拟资产是绑定在您当前 Apple ID 下的。更换设备后,您可通过 App Store 的"恢复购买"功能恢复订阅权益。 2.3 Device binding. Without an account system, your subscription entitlements are bound to your Apple ID. On a new device, use App Store's Restore Purchases to recover entitlements.

2.4 安全义务。请您妥善保管您的设备与 Apple ID,避免他人通过您的设备以您的名义使用本服务或进行消费。因您设备或 Apple ID 被他人使用造成的损失,我们不承担责任。 2.4 Security. Safeguard your device and Apple ID. We are not liable for losses caused by others using the Service or making purchases via your device or Apple ID.

用户行为规范User Conduct

3.1 您在使用本服务过程中应遵守相关法律法规,不得利用本服务从事以下行为: 3.1 You shall comply with applicable laws in your jurisdiction, and shall not use the Service to:

1. 反对宪法所确定的基本原则,危害国家安全、分裂国家的;Oppose constitutional principles or endanger national security and unity;
2. 损害国家荣誉和利益、煽动民族仇恨或破坏民族团结的;Harm national honor or incite ethnic hatred;
3. 宣扬恐怖主义、极端主义、淫秽色情、赌博、暴力或教唆犯罪的;Promote terrorism, extremism, obscenity, gambling, violence or crime;
4. 侮辱、诽谤、恐吓他人,侵害他人名誉权、肖像权、隐私权、知识产权的;Insult, defame or harass others, or infringe reputation, portrait, privacy or IP rights;
5. 未经权利人合法授权,使用或仿冒他人声音、肖像、姓名、作品进行 AI 翻唱、音色克隆、换声或合成的;Without authorization, use or imitate others' voice, portrait, name or work for AI cover, cloning or synthesis;
6. 发布广告、垃圾信息、传销信息、钓鱼链接、恶意代码或病毒的;Distribute ads, spam, pyramid schemes, phishing links, malware or viruses;
7. 伪造、冒用他人身份信息,包括但不限于明星、公众人物、政治人物、未成年人等;Forge or impersonate others' identity, including celebrities, public or political figures, minors;
8. 使用外挂、机器人、爬虫等非官方工具访问、干扰本服务,或恶意刷量、刷榜、刷评论、刷充值;Use bots, crawlers or unofficial tools to access or disrupt the Service, or artificially manipulate metrics;
9. 其他违反法律、法规、公序良俗或本协议约定的行为。Otherwise violate laws, public order, morality or this Agreement.

关于 AI 生成内容的特别规范Special Rules for AI-Generated Content

• 声音样本Voice samples:您上传的声音样本须为您本人声音,或已获得相关权利人书面授权。严禁未经授权克隆他人(尤其是公众人物、已故人物)的音色;严禁使用他人声音从事欺诈、诈骗、伪造信息、骚扰、色情等非法或不当用途。: Uploaded samples must be your own voice, or you must have written authorization from the rights-holder. Unauthorized cloning of others — especially public figures or the deceased — is strictly forbidden. Using others' voices for fraud, scams, impersonation, harassment or obscenity is strictly forbidden.
• 翻唱素材Cover material:您应确保对翻唱所使用的原曲、伴奏、歌词拥有合法授权。因版权争议产生的一切法律责任由您自行承担。: You shall have lawful authorization for any original track, instrumental or lyrics used. You bear all liability for copyright disputes arising therefrom.
• 生成内容标识Content labeling:AI 生成的音频内容可能会被添加显著或隐式标识;您不得删除、篡改或遮盖此类标识。: AI-generated audio may carry visible or hidden markers; you shall not remove, alter or obscure such markers.
• 深度合成Deepfake disclosure:使用深度合成技术生成可能导致公众混淆或误认的内容时,应依法进行显著标识。: Content generated via deep synthesis that may cause public confusion must be prominently labeled as required by law.

3.2 如您违反上述规定,我们有权根据情节严重程度采取警告、限流、删除内容、中止功能、封禁设备、将相关线索提交主管部门等措施。 3.2 If you violate the above, we may, depending on severity, take actions including warning, rate-limiting, content removal, feature suspension, device ban, or referral to competent authorities.

知识产权Intellectual Property

4.1 平台资产。本应用及其包含的所有内容(包括但不限于软件、程序代码、界面设计、商标、标识、素材库中的示例音色、官方伴奏、推荐歌词等)的知识产权归我们或相应权利人所有。未经事先书面许可,您不得以任何方式使用、复制、修改、传播或进行商业利用。 4.1 Platform assets. All content in the App (software, code, UI design, trademarks, logos, sample voices, official instrumentals, suggested lyrics, etc.) is owned by us or the respective rights-holders. You may not use, copy, modify, distribute or commercially exploit them without prior written permission.

4.2 用户内容(UGC)。您对自行上传或创作的原创内容享有相应权利,但应确保拥有合法、完整、有效的权利来源。 4.2 User content (UGC). You retain rights in your original uploaded or created content, and warrant you have lawful, complete and effective rights thereto.

为向您提供服务及运营本应用,您在此授予我们一项免费的、非独占的、全球范围内的、可转授权的许可,可对您的用户内容进行存储、复制、缓存、技术处理、公开传播及展示。前述授权仅限于提供本服务、模型优化及必要产品展示所需的合理范围,并不转移内容的所有权。 To operate the Service, you grant us a free, non-exclusive, worldwide, sublicensable license to store, copy, cache, technically process, publicly transmit and display your content. This license is limited to what is reasonably necessary for the Service, model refinement and product display, and does not transfer ownership.

4.3 侵权投诉。权利人可依照 DMCA 或《信息网络传播权保护条例》相关规定向我们发送书面通知。投诉邮箱详见第十条。 4.3 Infringement notices. Rights-holders may send written notices under the DMCA or the PRC Regulation on the Protection of the Right of Communication through Information Networks. See Section 10 for contact.

付费服务与虚拟商品Subscription & Virtual Goods

5.1 订阅服务。本应用当前提供的订阅商品如下: 5.1 Subscriptions. Current subscription products:

订阅自购买确认时生效,具体价格及权益以您在 Apple App Store 结算页面实际展示为准。 Subscriptions take effect upon purchase confirmation. Pricing and entitlements as displayed at Apple App Store checkout govern.

5.2 自动续期。上述订阅均为自动续订商品。您的 Apple 账户将在每个订阅周期结束前 24 小时内被扣款续订。您可随时在 Apple ID 的"订阅管理"中取消;取消在当期结束后生效,当期已支付费用不予退还。 5.2 Auto-renew. Subscriptions auto-renew. Your Apple account will be charged within 24 hours before each cycle ends. You may cancel anytime via Apple ID → Subscriptions; cancellation takes effect at period end and the current period is non-refundable.

5.3 退款。由于 AI 生成属于即时消耗类数字服务,一旦使用即无法撤销,在法律允许的范围内,已使用部分不予退款。符合 Apple 退款政策的申请请通过 Apple 官方渠道(reportaproblem.apple.com)提交。 5.3 Refunds. As AI generation is an instantly-consumed digital service, used portions are non-refundable to the extent permitted by law. Eligible refund requests should be filed through Apple's official channel at reportaproblem.apple.com.

5.4 价格调整。我们保留调整价格与权益的权利。调整前会另行通知;您不接受的可选择不再续订。 5.4 Price changes. We may adjust pricing and entitlements, with prior notice. If you disagree, you may choose not to renew.

免责声明与责任限制Liability & Disclaimers

6.1 本服务含有 AI 模型自动生成的内容,输出可能存在不完美或错误。您应对 AI 生成内容进行独立判断,并对使用后果自行负责。 6.1 The Service includes AI-generated content that may contain imperfections or errors. You are responsible for independently evaluating such content and for the consequences of its use.

6.2 在下列情形下,我们不承担责任: 6.2 We are not liable under the following circumstances:

• 不可抗力(含自然灾害、战争、政府命令、通讯中断、黑客攻击等)导致的服务中断或数据损失;Service interruption or data loss due to force majeure (disasters, war, government action, connectivity outage, cyber-attacks, etc.);
• 因您自身操作、Apple ID 泄露、设备丢失导致的损失;Losses caused by your own actions, Apple ID leak, or lost device;
• 因您违反法律或本协议产生的一切争议、处罚、赔偿责任;Disputes, penalties or damages arising from your violation of law or this Agreement;
• 因您使用本服务产生内容引发的版权、肖像权、名誉权、隐私权等争议。Copyright, portrait, reputation or privacy disputes arising from content you produce using the Service.

6.3 责任限额。对于您使用本服务产生的直接损失,我们的责任范围以您在争议发生前六(6)个月内就该项服务已向我们实际支付的费用总额为限。间接损失、预期收益损失、数据损失、商誉损失等,我们均不承担责任。 6.3 Liability cap. Our liability for direct losses is capped at the total amount you actually paid us for the relevant service within the six (6) months preceding the dispute. We are not liable for indirect, consequential, lost-profit, data-loss or goodwill damages.

服务变更、中断与终止Service Changes & Termination

7.1 我们可基于运营策略、技术调整或法律要求变更、中断或终止服务,并以应用内公告、系统通知等方式提前告知(紧急情况除外)。 7.1 We may modify, interrupt or terminate the Service for operational, technical or legal reasons, with advance notice through in-app announcements or system notifications (except in emergencies).

7.2 您有以下情形之一时,我们有权立即中止或终止对您的服务:违反本协议;存在欺诈、刷单、恶意退款、盗用他人账号等;应司法机关、行政机关要求。 7.2 We may immediately suspend or terminate service to you if you: violate this Agreement; engage in fraud, fake transactions, malicious refunds or account theft; or upon request of judicial or administrative authorities.

协议修订Amendments

8.1 我们可根据需要对本协议进行修订。修订后的协议将在本应用内公示。如修订内容为对您权利义务有重大影响的条款,我们将以显著方式(例如弹窗、推送、应用内横幅)提示您。 8.1 We may amend this Agreement as needed. The updated version will be posted in the App. For material changes affecting your rights, we will prominently notify you (via modal, push or in-app banner).

8.2 若您不同意修订后的协议,应立即停止使用本服务;如您继续使用,则视为接受修订后的协议。 8.2 If you disagree with the amended terms, please stop using the Service immediately. Continued use constitutes acceptance.

法律适用与争议解决Governing Law & Disputes

9.1 本协议适用中华人民共和国法律(不含港澳台地区法律)。 9.1 This Agreement is governed by the laws of the People's Republic of China (excluding Hong Kong, Macau and Taiwan).

9.2 发生争议时,双方应友好协商;协商不成的,任何一方均可向我们运营主体所在地有管辖权的人民法院提起诉讼。 9.2 In case of disputes, the parties shall first negotiate in good faith. Failing settlement, either party may bring the dispute to a competent people's court in the jurisdiction of our operating entity.

9.3 本协议任何条款被认定无效的,其余条款仍具有完整效力。 9.3 If any provision is deemed invalid, the remaining provisions remain in full force.
